1. Who we are

Verity is a registered trade name of Digital-Strategies, a sole proprietorship (eenmanszaak) established in the Netherlands. Trade name: Verity Operating under: Digital-Strategies (eenmanszaak) Chamber of Commerce (KvK): 66896657 VAT (BTW) number: NL001557552B60 Registered address: Spinnerij 73, 6717 XZ Ede, Netherlands Email: [email protected] References to "Verity", "we", "our", or "us" in these Terms mean Digital-Strategies trading under the name Verity.

2. Definitions

Customer: any natural or legal person who uses the Website, signs up for the Waitlist, or enters into an Agreement with Verity for the Service. Service: the Verity software as a service (SaaS) offering, including any related professional services. Website: ask-verity.com and any subdomains operated by Verity. Waitlist: the email signup list for early access to the Service. Agreement: any agreement between Customer and Verity covering use of the Service, including any order form, quote, or written confirmation. NLdigital Voorwaarden: the general terms and conditions of branch organisation NLdigital, version 2025, as published by NLdigital and made available to Customer in Dutch and English at the URLs in clause 3.

3. Applicability

These Terms apply to all use of the Website, registration for the Waitlist, and to every offer, quote, and Agreement between Verity and Customer concerning the Service. For all service delivery (provision of the SaaS, professional services, support, hosting, and any related work), the NLdigital Voorwaarden 2025 apply in addition to these Terms. They are available for download: NLdigital Voorwaarden 2025 (Dutch, PDF) NLdigital Terms 2025 (English, PDF) On request, Verity will provide the NLdigital Voorwaarden to Customer free of charge in electronic form. By accepting these Terms or entering into an Agreement with Verity, Customer confirms that it has had a reasonable opportunity to take note of the NLdigital Voorwaarden. In case of conflict between these Terms and the NLdigital Voorwaarden, these Terms prevail. In case of conflict between any written Agreement and these Terms, the Agreement prevails. Customer's own general terms and conditions, if any, are expressly rejected and do not apply.

4. Use of the Website

The Website is provided for general information about Verity. You may view and use the Website for your own non-commercial reference, provided you do not: • copy, redistribute, or republish content from the Website without prior written permission; • attempt to interfere with the operation, security, or availability of the Website; • use automated means (scrapers, bots, crawlers) to collect data from the Website in violation of our robots.txt or in a way that places an unreasonable load on our infrastructure; • reverse engineer, decompile, or otherwise attempt to derive source code from any Verity software accessible via the Website. We may modify, suspend, or discontinue the Website at any time without notice.

5. Waitlist

By submitting your email address to the Waitlist, you confirm that the address is yours or that you are authorised to submit it. We use the address only as described in our Privacy Policy. Joining the Waitlist does not create any right to access the Service or any obligation on Verity to grant access. We may invite Waitlist subscribers to the Service at our discretion and on terms we determine. You may unsubscribe at any time using the link in our emails or by contacting [email protected].

6. Private beta and early access

Until Verity announces general availability, the Service is offered in private beta. Beta access is provided on an "as is" and "as available" basis. During the beta period: • features may change, be added, or be removed at any time; • service levels (uptime, response times, support) are not guaranteed; • data created or stored in the Service may be reset between releases (Customer will be notified in advance where reasonably possible); • Verity may end a Customer's beta access at any time on reasonable notice. Notwithstanding any provision of the NLdigital Voorwaarden, Verity's aggregate liability for the beta Service is limited to a refund of any fees actually paid by Customer for the beta Service in the three (3) months preceding the event giving rise to liability.

7. The Service

Subject to the Agreement, these Terms, and the NLdigital Voorwaarden, Verity grants Customer a limited right to use the Service during the term of the Agreement, which right is not exclusive, not transferable, and may not be sublicensed, solely for Customer's internal business purposes. Customer is responsible for: • the accuracy and lawfulness of data provided to the Service; • obtaining and maintaining any third party licences, credentials, or permissions required for the Service to connect to Customer's data sources; • keeping account credentials secure and for all activity under those credentials. Verity may use anonymised and aggregated usage data to operate, secure, and improve the Service. Verity does not use Customer content to train third party foundation models.

8. AI generated output and accuracy

The Service uses artificial intelligence and large language models, including models provided by third party AI providers, to generate responses to Customer queries. This includes, without limitation, SQL queries, charts, summaries, narratives, recommendations, and natural language answers (collectively, AI Output). Probabilistic nature and accuracy. Customer acknowledges and agrees that: • AI Output is generated by probabilistic models and may be incomplete, inaccurate, biased, outdated, fabricated ("hallucinated"), or otherwise misleading; • identical or similar inputs may produce different AI Output on different occasions; • AI Output does not constitute professional advice (legal, tax, accounting, financial, medical, or otherwise) and must not be relied upon as such; • Customer is solely responsible for independently reviewing, verifying, and validating AI Output before relying on it for any decision that has material business, financial, legal, or operational consequences. No warranty on AI Output. To the maximum extent permitted by law, Verity makes no warranty (express or implied) as to the accuracy, completeness, reliability, currency, fitness for a particular purpose, or freedom from error of any AI Output. Customer's use of AI Output is at Customer's own risk. Ownership of AI Output. As between Verity and Customer, Customer owns the AI Output generated from Customer's own data and queries, subject to (a) Verity's rights in the underlying Service, software, prompts, system instructions, and models, and (b) the rights of third party AI providers in their respective models and outputs as set out in their terms. Verity retains all rights in improvements, derivatives, and aggregated learnings derived from operating the Service that do not identify Customer. Inputs and prompts. Customer is solely responsible for the content of any data, prompts, instructions, or queries it submits to the Service. Customer warrants that it has the right to submit such content, that it does not infringe any third party rights, and that it complies with applicable law (including data protection law). Prohibited uses. Customer must not use the Service or AI Output to: • make decisions that produce legal or similarly significant effects on individuals without meaningful human review (in line with Article 22 GDPR); • generate content that is unlawful, defamatory, discriminatory, or that infringes intellectual property rights; • attempt to extract, reverse engineer, or replicate any underlying model or its weights; • circumvent safety or content filters implemented by Verity or its AI providers. Third party AI providers. The Service relies on third party AI providers. Verity selects providers that offer enterprise grade data handling commitments, including (where applicable) commitments not to train on Customer content. The current list of AI subprocessors is available on request and forms part of the Data Processing Agreement described in clause 11. Verity may change AI providers from time to time provided that any new provider offers at least an equivalent level of data protection. EU AI Act. The Service is offered as a general purpose analytics tool and is not intended to be used as a high risk AI system within the meaning of the EU AI Act. Customer is responsible for any compliance obligations that arise from Customer's own use case classification.

9. Fees and payment

Fees for the Service are set out in the Agreement or in the plan selected by Customer. Unless agreed otherwise, fees are payable in advance, exclusive of VAT, and on the basis of monthly or annual subscription. Payment terms and consequences of late payment are governed by the NLdigital Voorwaarden.

10. Intellectual property

All intellectual property rights in the Website, the Service, and any related software, documentation, designs, and content belong to Verity or its licensors. Nothing in these Terms transfers any such rights to Customer. Customer retains all rights in the data and content it submits to the Service. Customer grants Verity a limited right to host, process, and display such data and content solely as needed to provide the Service.

11. Privacy and data processing

Our processing of personal data is described in our Privacy Policy. Where Verity processes personal data on behalf of Customer in providing the Service, a separate Data Processing Agreement (DPA) applies. On request, Verity will provide its standard DPA, based on the model of NLdigital.

12. Liability

Liability of Verity is governed by the NLdigital Voorwaarden, with the following clarification specific to these Terms: for use of the Website and Waitlist, Verity's liability is excluded except in cases of intent or wilful recklessness on the part of Verity or its management. For the Service, the limitation in clause 6 (beta) applies as long as the Service is in private beta.

13. Term and termination

Use of the Website and Waitlist may be discontinued by either party at any time. The term and termination of Agreements for the Service are set out in the Agreement and, in the alternative, in the NLdigital Voorwaarden.

14. Changes to these Terms

Verity may amend these Terms from time to time. The current version is always available at this URL and the "Last updated" date above reflects the latest revision. For material changes affecting an existing Agreement, Customer will be notified by email with a reasonable notice period.

15. Governing law and jurisdiction

These Terms, all Agreements, and any non contractual obligations arising out of or in connection with them are governed by the laws of the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any dispute that the parties cannot resolve amicably will be submitted to the exclusive jurisdiction of the competent court in Midden-Nederland (Utrecht), without prejudice to the right of either party to seek interim relief in any other competent forum.
